It's never bothered me at all, and I'm certainly not going to deny my girl if she wants to hold it. Of course, I'm usually not wearing pants in bed, so that's not an issue.
And I usually sleep with my arm around my girl and my hand on her boob (more than one of my GFs would roll over, grab my hand, and put it on her boob as a way of saying "it's time to go to sleep now." It depends if you're both sleeping or if you're still fooling around. In the first case, my experience is that a guy can be alright with that. In the second case, he's obviously going to be distracted if you're...um...moving around too much.
