If you say something - he won't learn... If you sit back - you will be hurting too, watching things happen as they are.
In your shoes - I would step up to my friend and call her out on her sh*t (If she reacts by breaking off the friendship, it proves she was only interested in using me too!) If she accepts your critisism but explodes back, that's natural - your all young and learning, but you'd be doing her a big favor (and him).
Alternatively, the only way he will learn - is if you let him continue doing this until he is used, then be the friend that you are - and help him find a real relationship and bring him back to his feet. (Don't let him bottle up and supress his feelings)

if he doesn't already know how she is around guys, tell him so he will be informed..if he already knows she uses guys then let him learn the lesson
If you want to keep the friendship of both of them, there's really not much you can do. Warn your guy friend about this girl, but don't expect him to listen to you. When he's heartbroken, at least he'll know that you tried and he'll hopefully learn a valuable lesson about girls who lead guy's around on a string. Just comfort him (do whatever guy's do, haha.)
With your other friend, you COULD talk to her if you want, but you're risking getting her pretty bitchy over it. If you decide to talk to her, make sure you're as not attacking her. Make your concern for your friend known and that you don't want her to lead him on if she's not interested.

Who's to say that even "if" you told him he'd listen? How do you know he will believe you and not be in denial about it? He is clearly infatuated by her so I think this is something he will have to learn on his own. Sometimes, we want to do the right thing and look out for our friends best interests but most of the time they won't listen. I suggest you stand by and be ready to lend a shoulder when she breaks his heart. That is probably the best approach in this situation.
