She is 12. That is old enough. Even if younger, the situation requires you giving her some information and explanation. Although I am confused that she is 12 and would be confused by that. Surely by now she knows what couples do just by talking with her peers. But the two of you should sit down and plan what you are going to talk about, but be prepared for her to take the conversation anywhere.

She has to know. Maybe she just said that because she was shocked. Not because she doesn’t know you were having sex. I mean she knows she has a mom & dad and that the stork did not deliver her.
Sure, have the talk but you probably should of had the talk when she was 7 to 10.
I was 4 when my parents first gave me the talk, I couldn’t remember it so it was unlikely I really understood or cared but I don’t see anything wrong with it. I got comprehensive sex ed from school since around 10 so it’s fine.
I think now's a good time for the talk, she'll be starting pubert soon if she hasn't already and will be learning about it in school soon (unless she's in a school without sex ed)

She's definitely old enough for the talk, and likely already knows a little about sex from her peers, media, school, etc.
You most definitely should have the sex talk with her. It's a part of life (that sometimes results in another life) that she just needs to know about!
And, if it was me getting walked in on, if it was okay with my partner I would just explain it right then and there, not even stopping to put clothes on. (well, maybe underpants, but nothing else) She will eventually have to learn about those parts anyway. :)
