While it could be checking out your boobs, many guys will not stare at your boobs when in conversation with you and see you looking right at them. For those guys it is likely that they are just a bit nervous and cannot hold eye contact, so the look down. some of us are not even nervous, but find that while we are talking we think better if we are not staring right into the listener's eyes. I often find myself looking down, left, or right while speaking, and have to make an effort to look directly in the listener's eyes.

He's noticing how much bigger or attractive they are than he INICTIALLY precieved as a "FRIEND." Now, his brain is like; "Whoa! Confusion." lol
It means he likes what he sees... even if everything is covered, the clothing may have been tight or just showcased your assets perfectly...
