It's a good sign he's willing to do it for the right person, to make them happy.
He might feel not so negative about it, potentially, if the woman wants it for the right reasons.
If you live in a place that has an official registered partnership agreement it doesn't have to be a Red flag. I know it is oversimplified but the difference is in the ceremony. And if you are not religious there is even less of a difference.

Definitely a red flag. You will not be able to have a strong marriage with someone who sees no value on things that you do.
There are different reasons people don’t think too positive about marriage.
For example for self employed people a marriage can lead to great financial risks.
If you’re really interested in this guy - ask him about some more details.
What part doesn't he believe in? The government involvement, the financial risks, monogamy? Depends on answer
If you plan on getting married why waste time on someone who’s not? The one for you is waiting for you
