She's a bit chubby and could benefit from some workouts. But could she take it as offence (like that I'm calling her fat) if I suggested her to exercise?

Invite her to do something with you -- a walk is a good start. But if this is a deal breaker then you should probably end it now. If she's "a bit chubby" in her 20's, and she isn't motivated to do something about it herself, there's a good chance she's always going to be heavier that you would like, and as she gets older, it's likely she will get be heavier still.

Like all women she’s probably going to take offense to it. She may not act like it bothers her but it will. Ask her if she’d like to go hiking or something together. Something fun that doesn’t seem like exercise.

Has she ever brought up her being overweight to you? If she’s like a typical girl struggling with weight, I’m thinking she probably has. If she ever does, that’s your perfect opportunity to offer help.
