There could be many reasons for this statement. He may feel the two of you are in different developmental stages, or he may feel you are out of his league. He may also feel he isn't ready for marriage yet. There's obviously something drawing him to you, but somehow he feels you're unattainable.

Be his friend to help him clarify his own feelings, but not if you are making it conditional with your own agenda or passing judgment of any kind. Ask him questions using you as an example... just an image to use to explore these hypothetical questions. This is just a sample of what you could explore, so feel free to be creative. Seeking clarification of his answers is a helpful tool for deeper exploration. Be receptive of whatever he says (with no overreaction), showing him you are doing this for him, not for you. What does he see in you that he sees as positive marriage qualities? How does it differ from what he sees in other girls? What will let him know he is ready to choose someone to commit to? What does he feel life would be like if he chose you? What qualities does he see in you that would cause him to be cautious or hold back? What has he learned about himself and you in the time he has known your? If he had a magic wand and could change anything in his life, what would he change?

I totally agree with you... coz I too feel this relationship itself is difficult to happen coz he is abroad trying to settle down as an citizen... so he has many unsure about things around him... maybe that's y he is so unsure of what he wants... Also am not going to condition him to anything coz I care about him and I know that he wants to settle there as he has worked so hard for it... but it's really a difficult situation coz now I know that he might be interested in me but the place and time might not work out..

Sometimes, it just isn't the right time or place. That's not a statement about either of the individuals, but circumstances may not be conducive to making any unnecessary commitments. Continue to be his friend, and circumstances may change, but don't put all your eggs in one basket and hold your breath while waiting for it to happen. If it does work out, that is great. If not, you have still enjoyed a special friendship, allowing you to further your personal growth.
