Because he sees her as too old. He may feel they have little in common because they have different levels of experience or may feel inadequate because of his own lack of experience. He may also be considering the future. She will be old and gray before he will. She may die before he will. There's also societal factors to consider. Even if he has no problem with the age difference, the people around him might and that could make life unnecessarily difficult.

As for the intimidation thing; men just don't generally find women intimidating. You'd have to be a lot bigger than him physically, or have some crazy successful career as a celebrity or something for him to find you intimidating.
