She's flattered, but not interested. Or she might be a little interested and be in the middle of making her mind up, but long story short, she's not interested enough to be worth your time. I did this all the time with a guy I wasn't serious about. He would ask me out, and I'd just smile and say I'd text him if I wanted to, and then I never would. Sometimes we can't bring ourselves to lie or tell the guy flat-out that we're not interested, especially if we'd like to keep the guy around a little longer.

Rule of thumb though: If the girl is actually into you, if you ask her out, she'll agree and cancel any plans she had that day to make it. If she had something she really couldn't get out of, she would at least make a counteroffer for a date some other time.
